InPost takeover: FedEx and Advent consortium secures 89.81% of shares

Investors tendered 89.81% of InPost to the FedEx and Advent consortium by 18 September. The €7.8bn deal keeps founder Rafał Brzoska in charge.

The InPost takeover by a consortium led by FedEx and Advent International passed its 80% acceptance threshold when the tender closed on 18 September 2026, Reuters reported. The price is €15.60 a share, which values the Polish parcel locker company at about €7.8bn.

Shareholders tendered 89.81% of InPost’s capital. The consortium also includes PPF Group, with 28.75% of InPost, and A&R Investments, founder Rafał Brzoska’s vehicle, with 12.49%, Polish media site Wirtualnemedia reported. Brzoska stays on as chief executive.

The buyers will say on 23 September whether they declare the offer unconditional. InPost has said its shares will leave Euronext Amsterdam once the deal closes. The company keeps its name, its management team and its headquarters in Poland.

InPost runs 68,900 lockers in nine countries

InPost has about 68,900 parcel lockers, and 29,900 of them are in Poland, according to Wirtualnemedia. It operates in nine countries. Revenue grew by more than 18% in the second quarter of 2026. The offer is 53% above the average share price of the previous three months. To pay for it, the buyers have lined up €5.9bn of equity plus long-term bank loans.

The consortium says it wants to take InPost into more European markets. In Poland the company sits at the centre of online shopping, next to a marketplace sector led by Allegro, which now takes a large share of retail media spend. Polish online sellers are also pushing for a 7-euro fee on parcels from outside the EU.

FedEx has not said what changes for InPost merchants

The next date is 23 September, when the buyers say whether the offer is unconditional. The open question for online shops is whether FedEx changes InPost’s prices or terms for merchants. Nothing has been announced on that yet.
